Terms of Service

1. Introduction

Welcome to MyQS. These Terms of Service ("Terms") govern your access to and use of the MyQS platform available at myqs.ai ("Service"), operated by MyQS, a company registered in England and Wales ("Company", "we", "us", or "our").

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Account Terms

To use MyQS, you must create an account by providing accurate and complete information, including your name, email address, and company details where applicable.

• You must be at least 18 years old to use the Service.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised use of your account.
• One person or legal entity may not maintain more than one free account.

3. Acceptable Use

You agree to use the Service only for lawful purposes related to construction quantity surveying, estimating, and project management. You must not:

• Use the Service to violate any applicable law or regulation.
• Upload content that infringes any third party's intellectual property rights.
• Attempt to gain unauthorised access to any part of the Service or its systems.
• Use automated tools to scrape, crawl, or extract data from the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Resell, sublicense, or redistribute the Service without our prior written consent.

4. AI-Generated Content and Template Documents

MyQS uses artificial intelligence to analyse construction photos, drawings and descriptions to generate cost estimates, quotes, and construction documents.

You acknowledge and agree that:

• AI-generated outputs are provided as a starting point and professional aid. They are not a substitute for the judgement of a qualified quantity surveyor, estimator, or construction professional, and MyQS is not a regulated professional service.
• Use of MyQS does not constitute the engagement of a Quantity Surveyor, Estimator or Construction Cost Consultant. If your project requires formal QS services for insurance, planning, funding or tender purposes, you must engage a qualified professional separately.
• All AI-generated quotes, measurements, quantities, rates, and documents must be reviewed, verified, and approved by a suitably qualified professional before being relied upon for tendering, procurement, or construction purposes.
• We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content.
• You assume full responsibility for any decisions made or actions taken based on AI-generated outputs from the Service.
• AI-generated construction documents (including RAMS, Method Statements, and Health & Safety Plans) must be reviewed and adapted by a competent person to reflect site-specific conditions before use.

Template documents and the contract creator. Contracts made with the contract creator start from MyQS's own template wording, which is built from your answers without AI. You can change that wording, add your own clauses and delete clauses. On paid plans you can also ask the contract creator's AI help to draft a clause, rewrite a clause, suggest changes for your side or check the changes you have made. AI is used only when you ask for it, and nothing it writes goes into your contract until you accept it. AI help can be wrong or incomplete and can miss legal requirements. Wording you type, and wording you accept from AI help, is your wording and not MyQS's standard wording. Everything in this section, and in section 7, applies to template wording, to your changes and to wording drafted or checked with AI help in the same way as it applies to other AI-generated content.

Changes and the law. Some clauses are there because the law requires them, including the payment and adjudication terms the Housing Grants, Construction and Regeneration Act 1996 requires in business construction contracts, and the consumer rights and cancellation terms a homeowner is entitled to. The contract creator warns you when a change affects one of them, but it cannot stop the law applying. A change that does not comply may be replaced by the Scheme for Construction Contracts, may not bind a consumer, or may extend a homeowner's right to cancel. These checks help you spot problems. They do not confirm that a contract is lawful, enforceable or right for your work. The Word document lists every change against the MyQS standard wording in a schedule of changes. You must not remove that schedule or present changed wording as MyQS's standard wording.

AI help allowance. AI help in the contract creator is included in paid plans up to a fair-use allowance of 50 AI actions for each account in each calendar month, shared by everyone in a team. An action is a draft, a rewrite, a set of suggestions or a check that returns a usable answer. Anything that fails, is refused or finds nothing is not counted, and unused actions do not carry over. We may change the allowance by giving notice. Editing the wording yourself is always free.

What is sent to our AI provider. When you use AI help, the clause wording concerned, your instruction, and the contract's key terms and party names are sent to our AI provider to produce the answer, and are handled as our Privacy Policy describes. Addresses are not sent.

MyQS contracts are not legal advice and are not a published standard form. Do not copy the wording of a published standard form into them, because that wording is licensed. You are responsible for checking that a contract, including any wording you or AI help have changed or added, suits your work and your circumstances before you or anyone else signs it, and for taking independent legal advice where the value, complexity or risk of the work calls for it.

5. Payment Terms

MyQS offers both free and paid subscription plans. For paid plans:

• Payments are processed securely through Stripe. We do not store your full payment card details on our servers.
• Subscriptions are billed monthly or annually, depending on the plan you select. Charges are made at the beginning of each billing period.
• All prices are displayed in GBP and are exclusive of VAT unless otherwise stated.
• No Refunds. All subscription payments and credit top-up purchases are non-refundable. By subscribing or purchasing credits, you acknowledge and agree that no refunds will be issued under any circumstances.
• Cancellation. You may cancel your subscription at any time from your account settings. Cancellation stops your subscription from renewing - you keep full access to your paid plan for the remainder of the billing month you have already paid for, after which it ends, and you will not be charged again. Because you retain access for the time you have paid for, refunds are not issued for the current or any part-month; in practice, cancelling applies from your next billing month.
• Credits. Credit top-ups are non-refundable once purchased. Top-up credits remain available while your subscription is active but are forfeited if you cancel your subscription. Monthly credits reset on your billing date and do not roll over.
• If you believe you have been incorrectly charged due to a technical error, please contact us at hello@myqs.ai and we will investigate.
• We reserve the right to change our pricing with 30 days' notice. Existing subscribers will be notified by email before any price changes apply to their account.

6. Intellectual Property

Your Content: You retain full ownership of all drawings, documents, project data, and other content you upload to MyQS ("Your Content"). By uploading content, you grant us a limited licence to process, analyse, and store Your Content solely for the purpose of providing the Service to you.

Our Service: The MyQS platform, including its design, code, AI models, branding, and all related intellectual property, is owned by MyQS and protected by copyright and other intellectual property laws. You may not copy, modify, or create derivative works based on our Service.

AI Outputs: Quotes and documents generated by the Service using your uploads and data are owned by you. We do not claim ownership over AI-generated outputs produced from your content.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of: (a) the amount you have paid to us in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (£100).
• We are not liable for any losses arising from reliance on AI-generated content or template documents, including contracts made with the contract creator and any wording written, changed, drafted, suggested or checked in it, with or without AI help, without independent professional verification.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

8. Termination

You may close your account at any time by contacting us at hello@myqs.ai.

We may suspend or terminate your account if you breach these Terms, engage in fraudulent or abusive activity, or if we are required to do so by law. We will provide reasonable notice where possible.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should stop using the Service and close your account.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
