Terms of Service

1. Introduction

Welcome to MyQS. These Terms of Service ("Terms") govern your access to and use of the MyQS platform available at myqs.ai ("Service"), operated by MyQS Ltd, a company registered in England and Wales ("Company", "we", "us", or "our").

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Account Terms

To use MyQS, you must create an account by providing accurate and complete information, including your name, email address, and company details where applicable.

• You must be at least 18 years old to use the Service.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised use of your account.
• One person or legal entity may not maintain more than one free account.

3. Acceptable Use

You agree to use the Service only for lawful purposes related to construction quantity surveying, estimating, and project management. You must not:

• Use the Service to violate any applicable law or regulation.
• Upload content that infringes any third party's intellectual property rights.
• Attempt to gain unauthorised access to any part of the Service or its systems.
• Use automated tools to scrape, crawl, or extract data from the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Resell, sublicense, or redistribute the Service without our prior written consent.

4. AI-Generated Content

MyQS uses artificial intelligence to analyse construction drawings and generate Bills of Quantities (BOQs), cost estimates, and construction documents. You acknowledge and agree that:

• AI-generated outputs are provided as a starting point and professional aid. They are not a substitute for the judgement of a qualified quantity surveyor, estimator, or construction professional.
• All AI-generated BOQs, measurements, quantities, rates, and documents should be reviewed, verified, and approved by a suitably qualified professional before being relied upon for tendering, procurement, or construction purposes.
• We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content.
• You assume full responsibility for any decisions made or actions taken based on AI-generated outputs from the Service.
• AI-generated construction documents (including RAMS, Method Statements, and Health & Safety Plans) must be reviewed and adapted by a competent person to reflect site-specific conditions before use.

5. Payment Terms

MyQS offers both free and paid subscription plans. For paid plans:

• Payments are processed securely through Stripe. We do not store your full payment card details on our servers.
• Subscriptions are billed monthly or annually, depending on the plan you select. Charges are made at the beginning of each billing period.
• All prices are displayed in GBP and are exclusive of VAT unless otherwise stated.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you will retain access until then.
• Refunds are provided at our discretion. If you believe you have been incorrectly charged, please contact us at hello@myqs.ai.
• We reserve the right to change our pricing with 30 days' notice. Existing subscribers will be notified by email before any price changes apply to their account.

6. Intellectual Property

Your Content: You retain full ownership of all drawings, documents, project data, and other content you upload to MyQS ("Your Content"). By uploading content, you grant us a limited licence to process, analyse, and store Your Content solely for the purpose of providing the Service to you.

Our Service: The MyQS platform, including its design, code, AI models, branding, and all related intellectual property, is owned by MyQS Ltd and protected by copyright and other intellectual property laws. You may not copy, modify, or create derivative works based on our Service.

AI Outputs: BOQs and documents generated by the Service using your drawings and data are owned by you. We do not claim ownership over AI-generated outputs produced from your content.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.
• We are not liable for any losses arising from reliance on AI-generated content without independent professional verification.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

8. Termination

You may close your account at any time by contacting us at hello@myqs.ai.

We may suspend or terminate your account if you breach these Terms, engage in fraudulent or abusive activity, or if we are required to do so by law. We will provide reasonable notice where possible.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should stop using the Service and close your account.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
